These Terms and Conditions (“Terms”) govern your use of the Great Lakes Carbide Supply website and the purchase of products from Great Lakes Carbide Supply (“GLCS”, “we”, “us”, or “our”).

By using our website, creating an account, submitting an order, or purchasing products from GLCS, you agree to these Terms.

Nothing in these Terms limits any rights or remedies that cannot legally be limited or waived under applicable Canadian federal or provincial law.

1. Products and Intended Use

GLCS supplies industrial products including cutting tools, abrasives, measuring and inspection equipment, work holding products, hand tools, shop supplies, and related products.

Many products sold by GLCS are intended for professional, commercial, manufacturing, machining, maintenance, or industrial use.

Customers are responsible for:

* determining whether a product is suitable for their intended application;

* reviewing and following the product manufacturer’s specifications, instructions, warnings, and recommended operating procedures;

* ensuring products are operated by appropriately trained persons; and

* using appropriate safety equipment and procedures.

Unless expressly stated otherwise, GLCS does not manufacture the third-party branded products offered on our website.

2. Product Information

We make reasonable efforts to ensure that product descriptions, specifications, dimensions, photographs, compatibility information, availability, and other information on our website are accurate.

However, manufacturers may change product specifications, packaging, country of manufacture, appearance, model numbers, or other characteristics without notice.

Images may be representative and may not show the exact size, packaging quantity, colour, configuration, or revision supplied.

If a material product specification is important to your application, please contact GLCS before ordering to confirm the specification.

3. Pricing

Unless otherwise stated:

* all website prices are in Canadian dollars (CAD);

* applicable sales taxes are additional;

* shipping charges are additional unless expressly included; and

* prices may change without notice before an order is accepted.

GLCS makes reasonable efforts to maintain accurate pricing. Occasionally, pricing, discount, data-entry, system, supplier, or typographical errors may occur.

If a product has been listed at an incorrect price, GLCS may, to the extent permitted by law, cancel the affected order or contact the customer for approval before proceeding at the corrected price.

If payment has already been collected for an order that GLCS cancels, the amount collected for the cancelled product will be refunded.

We will not knowingly add undisclosed mandatory charges to an advertised price other than applicable taxes, shipping charges calculated or disclosed as part of the transaction, or other charges clearly disclosed before the customer completes the purchase.

4. Orders and Order Acceptance

Submitting an order through the GLCS website does not necessarily mean that the order has been accepted.

After an order is submitted, GLCS may send an electronic order acknowledgement confirming that the order was received.

Unless applicable law requires otherwise, an order is accepted when GLCS:

1. expressly confirms acceptance of the order; or

2. ships the product.

GLCS reserves the right, where permitted by law, to refuse or cancel an order for reasons including:

* incorrect pricing or product information;

* suspected fraud or unauthorized payment;

* product discontinuation;

* supplier availability;

* inventory errors;

* shipping restrictions;

* unusually large quantities;

* errors in an order;

* inability to verify customer information; or

* circumstances beyond our reasonable control.

Any applicable statutory consumer cancellation or refund rights remain unaffected.

5. Product Availability and Backorders

Inventory quantities and availability shown on the website are estimates and may change before an order is processed.

Certain products may be available for **backorder**.

When an order contains a backordered product, GLCS may:

* hold the entire order until all products are available;

* ship available products separately;

* provide an estimated lead time;

* offer a substitute product with customer approval; or

* cancel and refund an unavailable product where appropriate.

Supplier and manufacturer lead times are estimates only and may change.

Where applicable consumer protection legislation provides a right to cancel because of delayed delivery, that right will apply regardless of anything in these Terms.

6. Payment

Payment methods available at checkout may include credit card, electronic payment, approved customer account terms, or other payment methods made available by GLCS.

Payment is due according to the terms displayed during checkout or otherwise agreed to in writing by GLCS.

Customers with approved commercial credit accounts may be subject to separate credit terms. Where separately agreed commercial account terms conflict with these Terms, the separately agreed terms will govern to the extent of the conflict.

GLCS may suspend further shipments on accounts with overdue balances.

7. Taxes

Customers are responsible for applicable GST/HST, PST, QST, or other sales taxes as required by law.

Tax-exempt customers must provide satisfactory exemption documentation before GLCS can process an order on a tax-exempt basis.

Tax treatment is determined according to applicable law and the information available to GLCS at the time of the transaction.

8. Shipping and Delivery

Available shipping methods, estimated costs, and delivery information will be displayed during checkout where possible or otherwise communicated before shipment.

Delivery dates and transit times are estimates unless GLCS expressly agrees in writing to a guaranteed delivery date.

GLCS is not responsible for delays caused by circumstances outside its reasonable control, including:

* carrier delays;

* severe weather;

* labour disruptions;

* manufacturer or supplier delays;

* customs or government action;

* transportation interruptions;

* natural disasters;

* shortages; or

* other events beyond GLCS’s reasonable control.

Nothing in this section limits statutory delivery or cancellation rights available to consumers.

Customers are responsible for providing a complete and accurate shipping address. Additional costs resulting from an incorrect address, refused shipment, failed delivery, or customer-requested redirection may be charged to the customer where permitted by law.

9. Damaged, Missing, or Incorrect Shipments

Customers should inspect shipments promptly after delivery.

If an order arrives damaged, incomplete, or incorrect, please contact GLCS as soon as reasonably possible and provide:

* the order or invoice number;

* the affected product number;

* a description of the problem; and

* photographs of the product and packaging where relevant.

Customers should retain damaged products and packaging until GLCS or the carrier confirms that they may be discarded.

GLCS will work with the customer and, where applicable, the shipping carrier or manufacturer to resolve valid claims.

10. Returns

Unless otherwise stated on the product page or agreed in writing, standard stocked products may be eligible for return within **[30 DAYS]** of delivery, subject to these Terms.

Before returning a product, customers must contact GLCS for return authorization.

Returned products must generally be:

* unused;

* undamaged;

* complete;

* in resalable condition; and

* in the original packaging where reasonably applicable.

GLCS may charge a **[15%] restocking fee** on eligible non-defective commercial returns where disclosed and permitted by law.

Original shipping costs and return shipping costs are generally non-refundable for discretionary returns unless the return results from an error by GLCS or applicable law requires otherwise.

Non-Returnable Products

The following may be non-returnable unless defective, incorrectly supplied, or otherwise required by law:

* custom-manufactured or modified products;

* special-order products;

* products specifically sourced at the customer’s request;

* clearance or products clearly marked “Final Sale”;

* opened products that cannot reasonably be resold;

* products damaged through misuse, improper installation, or improper storage; and

* products returned outside the applicable return period.

GLCS will not apply a return restriction where doing so would violate a customer’s statutory rights.

11. Order Cancellations

Please contact GLCS promptly if you wish to cancel an order.

We will make reasonable efforts to accommodate cancellation requests before shipment.

Orders for custom, modified, special-order, or non-stock products may not be cancellable after GLCS has committed to purchasing, manufacturing, modifying, or obtaining the product.

Applicable statutory consumer cancellation rights are not affected by this section.

12. Manufacturer Warranties

Products manufactured by third parties may be covered by warranties provided by their respective manufacturers.

Where applicable, GLCS will reasonably assist customers in submitting legitimate manufacturer warranty claims.

Except for warranties expressly provided by GLCS in writing and any warranties or conditions that cannot legally be excluded, products are supplied subject to the warranties provided by their manufacturers.

Manufacturer warranty decisions may be subject to inspection and approval by the manufacturer.

13. Limitation of Liability

To the maximum extent permitted by applicable law, GLCS will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising from the purchase, possession, selection, installation, operation, or use of a product.

This may include, where permitted by law:

* lost production;

* machine downtime;

* lost profits;

* lost contracts;

* loss of business;

* loss of data;

* labour charges;

* removal or installation costs; or

* damage resulting from improper product selection or use.

For commercial transactions, and to the maximum extent permitted by law, GLCS’s aggregate liability relating to a product will not exceed the amount paid to GLCS for the product giving rise to the claim.

This limitation does not apply where liability cannot legally be excluded or limited.

14. Technical Information and Recommendations

GLCS may provide general technical information, product suggestions, application information, or manufacturer information as a service to customers.

Unless GLCS expressly agrees otherwise in writing, this information does not constitute engineering, safety, or professional advice and does not replace the customer’s responsibility to verify product suitability.

Machining conditions and industrial applications vary significantly depending on materials, machines, workholding, tooling, speeds and feeds, coolant, setup, operator technique, and other factors.

Customers remain responsible for determining appropriate operating conditions for their application.

15. Intellectual Property

The GLCS website and its original content, including text, graphics, logos, page designs, photographs owned by GLCS, databases, and other materials, are protected by applicable intellectual property laws.

Manufacturer names, trademarks, logos, photographs, technical documents, and product information remain the property of their respective owners where applicable.

Nothing on the website grants a licence to use GLCS or third-party intellectual property except as reasonably necessary to browse the website and purchase products.

16. Website Use

You agree not to use the GLCS website:

* for unlawful or fraudulent purposes;

* to interfere with the security or operation of the website;

* to introduce malicious code or automated attacks;

* to attempt unauthorized access to systems or accounts;

* to impersonate another person or organization; or

* to collect website information through automated means in a manner that materially disrupts the website or violates applicable law.

GLCS may restrict website access where reasonably necessary to protect the website, customers, or our systems.

17. Customer Accounts

Customers are responsible for maintaining the confidentiality of their account credentials and for activity conducted through their accounts.

Please notify GLCS promptly if you believe an account has been accessed without authorization.

GLCS may suspend or terminate an account where reasonably necessary because of suspected fraud, security concerns, repeated non-payment, abuse of the website, or violation of these Terms.

18. Privacy

GLCS collects and uses personal information in connection with website operation, order processing, payment, shipping, customer service, fraud prevention, and related business activities.

Our collection, use, disclosure, retention, and protection of personal information are governed by our Privacy Policy and applicable Canadian privacy laws.

The Privacy Policy should be read together with these Terms.

19. Third-Party Services and Links

The website may contain links to manufacturers, carriers, payment providers, marketplaces, or other third-party services.

GLCS does not control third-party websites and is not responsible for their content, availability, security, privacy practices, or terms.

20. Force Majeure

GLCS will not be responsible for failure or delay in performing an obligation where the failure or delay results from circumstances beyond our reasonable control, subject to any rights that cannot legally be excluded.

Such circumstances may include natural disasters, fires, floods, severe weather, war, governmental action, transportation interruptions, labour disputes, cyber incidents, telecommunications outages, supplier failures, and widespread material shortages.

21. Business Customers

Where a customer purchases products primarily for commercial, industrial, trade, manufacturing, or business purposes, the transaction will be considered a business transaction to the extent permitted by applicable law.

Any purchase order or other document submitted by a business customer containing terms different from these Terms will not modify these Terms unless GLCS expressly agrees to the change in writing.

22. Consumer Rights

Some Canadian provinces provide consumers with rights and remedies that cannot be waived or restricted by contract.

Nothing in these Terms is intended to waive, exclude, restrict, or replace any mandatory right, warranty, remedy, cancellation right, or protection provided by applicable consumer protection legislation.

If any provision of these Terms conflicts with mandatory applicable law, the law will prevail and the remaining provisions will continue to apply to the extent legally permitted.

23. Governing Law

Except where applicable consumer protection or other mandatory legislation requires otherwise, these Terms and transactions with GLCS will be governed by the laws of the Province of Ontario and the applicable federal laws of Canada.

The parties agree that disputes will be brought before courts having jurisdiction in Alberta, except where applicable law gives the customer the right to bring a proceeding elsewhere.

24. Severability

If a provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be limited or removed only to the extent necessary and the remaining provisions will continue in effect.

25. Changes to These Terms

GLCS may update these Terms from time to time.

The Terms applicable to an order will generally be the version presented or in effect when the order is placed, subject to applicable law.

The current version will be posted on our website with the date it was last updated.
